These Terms & Conditions ("Terms") govern your use of the website webintegrate.com and its demo sites (the "Site"), the free Catering Requests WordPress plugin (the "Free Plugin"), and the paid Catering Requests Pro add-on (the "Pro Plugin"). The Free Plugin and Pro Plugin are together called the "Plugins."
The Site and Plugins are provided by [LEGAL BUSINESS NAME] doing business as Web Integrate, Houston, Texas, USA ("Web Integrate," "we," "us," or "our").
By using the Site, installing a Plugin, or buying a Pro license, you agree to these Terms. If you are accepting these Terms for a business, you confirm that you are authorized to bind that business, and "you" refers to that business. If you do not agree, do not use the Site or the Plugins.
Custom development work (for example, a custom theme, plugin, or website built for you) is covered by a separate written agreement or proposal, not by these Terms.
1. Using the Site
- You may browse the Site and use its forms for lawful purposes only.
- Do not attempt to disrupt the Site, bypass its security, send spam through its forms, or scrape it in a way that places an unreasonable load on our servers.
- The demo sites (such as demo.webintegrate.com) are for evaluation only. Content you enter on a demo site may be visible to other visitors and is reset or deleted from time to time. Do not enter real personal information there.
2. The Free Plugin
- The Free Plugin is distributed through WordPress.org under the GNU General Public License, version 2 or later (GPLv2+). Your rights to use, copy, modify, and redistribute its code are governed by that license.
- The Free Plugin is fully functional on its own. It is not a trial and does not expire.
- Support for the Free Plugin is provided on a best-effort basis through the WordPress.org support forum.
3. Pro Plugin Purchases
3.1 Freemius is our reseller
Pro licenses are sold through Freemius, our online reseller and Merchant of Record. When you buy, your order is processed and billed by Freemius, which also calculates and collects any applicable sales tax or VAT and handles payment processing. Freemius's own terms and privacy policy also apply to the checkout: https://freemius.com/terms/ and https://freemius.com/privacy/.
3.2 What a license gives you
A Pro license is a subscription to updates and support for the Pro Plugin, for the number of sites in your plan (for example, 1, 5, or unlimited sites). While your license is active, you receive:
- access to download the Pro Plugin;
- automatic updates through your WordPress dashboard; and
- support as described in Section 5.
The Pro Plugin's code is also licensed under GPLv2 or later. Nothing in these Terms limits your rights under the GPL. Your license key, updates, and support, however, are services we provide under these Terms and are tied to your active subscription.
3.3 License keys
- Your license key is for you (or your business) only. Do not share, publish, or resell it.
- A license can be active on only as many sites as your plan allows. You can deactivate a site and use the license on a different site.
- We may deactivate a license key that has been shared publicly, used beyond its site limit, or obtained through fraud or a charge-back.
3.4 Automatic renewal
- Licenses are sold as annual subscriptions that renew automatically at the end of each term, using the payment method on file, unless you cancel before the renewal date.
- We or Freemius will email you a reminder before an annual renewal.
- You can cancel automatic renewal at any time from your Freemius customer account or by contacting us. After cancellation, your license stays active until the end of the paid term. The Pro Plugin will keep working on your site after the term ends, but you will no longer receive updates or support.
3.5 Prices and changes
Prices are shown on the Site in U.S. dollars and may exclude taxes, which are added at checkout. We may change prices for future terms. A price change will not affect a term you have already paid for, and we will notify you by email at least 30 days before a changed price applies to your renewal.
4. Refunds
- New purchases: if the Pro Plugin does not work for you, you may request a full refund within 14 days of your purchase.
- Renewals: you may request a full refund of an automatic renewal charge within 14 days of the renewal date.
- To request a refund, contact us at the email address in Section 15 or through your Freemius customer account. Refunds are issued by Freemius to the original payment method.
- When a refund is issued, the related license is deactivated and you should remove the Pro Plugin from your sites.
- Refunds are not available after the 14-day period, except where required by law. This policy does not limit any rights you have under applicable consumer protection laws.
5. Support and Updates
- Pro support is provided by email or our support form during U.S. business days. We aim to reply within 2 business days, but response times are a goal, not a guarantee.
- Support covers installing, configuring, and using the Plugins' documented features, and fixing bugs in the Plugins.
- Support does not cover custom code, third-party themes or plugins, server or hosting problems, email delivery configuration, or building new features. We may offer such work as a paid custom development service.
- We aim to keep the Plugins compatible with the current major version of WordPress and supported PHP versions. We may end support for old WordPress or PHP versions in future updates.
- We may add, change, or remove features in updates. We will not remove a major Pro feature you have paid for during your current term without offering a pro-rated refund.
6. Your Responsibilities When Using the Plugins
The Plugins help restaurants and caterers collect catering requests from their own customers ("your customers"). When you use them on your website:
- You control your customers' data. Catering requests, contact details, event details, and dietary or allergy notes submitted through your website are stored on your website and server. We do not receive or access this data. You are responsible for handling it lawfully, including publishing your own privacy notice and responding to your customers' privacy requests. The Free Plugin includes tools to help export and erase this data.
- Food safety and allergies. The Plugins only collect and display information. You are solely responsible for your menu information, ingredients, allergen and dietary claims, food safety, and fulfilling your customers' orders.
- Prices and quotes. Estimated totals shown by the Plugins are calculated from the settings you enter. You are responsible for your prices, taxes on your sales, quotes, deposits, and cancellation terms with your customers.
- Payments (Pro). Deposit payments in the Pro Plugin are processed by your own Stripe account, under Stripe's terms. Payments go directly from your customers to your Stripe account; we never receive them. You are responsible for your Stripe account, fees, refunds, and disputes.
- Operations. You are responsible for backing up your website, keeping WordPress and your plugins updated, and making sure email notifications from your site are delivered (for example, by using an SMTP service).
- Laws. You are responsible for complying with the laws that apply to your business, including privacy, consumer protection, and food service laws.
7. Third-Party Services
Some features connect to services we do not control, such as Stripe, Google Calendar, or SMS providers. Your use of those services is governed by their terms and privacy policies. We are not responsible for their availability, changes, fees, or actions.
8. Intellectual Property
- The Plugins' code is licensed under GPLv2 or later, as described above.
- The names "Web Integrate" and "Catering Requests," our logos, the Site's design and text, our documentation, and our product images are owned by us and are not licensed under the GPL. You may not use them in a way that suggests we endorse or sponsor you, or to name your own product.
- If you send us suggestions or feedback, we may use them without any obligation to you.
9. Disclaimers
THE SITE AND THE PLUGINS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLUGINS WILL BE ERROR-FREE OR UNINTERRUPTED, THAT EVERY CATERING REQUEST OR EMAIL NOTIFICATION WILL BE DELIVERED, OR THAT THE PLUGINS WILL WORK WITH EVERY THEME, PLUGIN, OR HOSTING ENVIRONMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST ORDERS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR THE PLUGINS IS LIMITED TO THE AMOUNT YOU PAID US FOR THE PRO PLUGIN IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $50 IF YOU HAVE NOT PAID US ANYTHING.
Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.
11. Indemnification
You agree to defend and indemnify Web Integrate against claims, damages, and costs (including reasonable attorneys' fees) arising from your use of the Plugins on your website, your handling of your customers' data, your food products and services, or your violation of these Terms or the law.
12. Suspension and Termination
We may suspend or deactivate your license key, or restrict your access to the Site, if you materially breach these Terms (for example, by sharing your license key publicly or committing payment fraud). You may stop using the Plugins and cancel your subscription at any time. Sections 6 through 11, 13, and 14 survive termination.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-law rules. Before filing a claim, you agree to contact us and try to resolve the dispute informally for at least 30 days. Any claim that is not resolved informally must be brought in the state or federal courts located in Harris County, Texas, and both parties consent to the jurisdiction of those courts. Nothing in this section prevents either party from seeking relief in small-claims court.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on this page and change the "Last updated" date. If a change materially affects paying customers, we will also notify them by email at least 14 days before it takes effect. Changes do not apply retroactively to a term you have already paid for.
